Ben is an attorney in the Corporate & Tax Group of McNees Wallace & Nurick.  He has significant experience in asset and stock sales and acquisitions, in mergers, in finance and lending and in asset transactions for municipalities.

Ben helps to guide those transactions from the earliest planning phases through the negotiation and drafting to their signing and closing.  He also provides on-going and day-to-day business and strategic advice to his clients, their boards of directors, their leaders and their executives.   Ben regularly advises on:

  • Corporations, shareholder agreements, buy/sell agreements, and restructurings.
  • LLCs, partnerships, formation, start-up companies, and operating agreements.
  • Commercial contracts, and lease, technology, software, service and license agreements.
  • Choice of entity, governance, and board of director duties and actions.
  • Transfers and succession among family members, and unlocking wealth.
  • Maximizing a business’s value by reducing its legal and contract risk, including as between multiple owners.

Prior to joining McNees, he spent close to a decade practicing with large law firms in New York City, where he is also admitted to the bar.   Ben is a graduate of Lancaster Country Day School and received his B.A. from Wesleyan University in 2000 and his J.D. from the New York University School of Law.
