Financial institutions operate through relationships and obligations that can continue long after a transaction closes. The structure of a loan can shape risk for years. A troubled credit can quickly involve collateral, enforcement, and bankruptcy. A fiduciary decision may later be examined by beneficiaries, regulators, or a court. We advise with those longer-term consequences in view.
We represent banks, credit unions, trust companies, other lenders, and borrowers in secured and unsecured financing transactions. Our work includes real estate and construction loans, asset-based lending, revolving credit facilities, syndicated loans, private debt placements, and tax-exempt financing. We advise from initial structuring through documentation and closing, handling routine business loans as well as sophisticated transactions involving hundreds of millions of dollars.
When a credit relationship becomes distressed, we help financial institutions evaluate workouts, restructurings, enforcement, and bankruptcy options. Our attorneys also represent clients in disputes involving lender liability, loan and collateral enforcement, securities, negotiable instruments, and other commercial claims.
Financial institutions may also serve as trustees, executors, and other professional fiduciaries. We advise banks, trust companies, and other institutional fiduciaries on administration, document interpretation, fiduciary risk, and contested proceedings. When a matter also involves tax, real estate, corporate governance, privacy, or technology, we bring the appropriate attorneys into the work so the legal strategy reflects the broader needs of the institution.
We represent lenders and borrowers in secured and unsecured financing transactions, commercial lending, and real estate finance. Our attorneys handle syndicated credit facilities, refinancing transactions, and other complex financing arrangements.
We advise banks, trust companies, professional guardianship organizations, and other institutional fiduciaries on trust, estate, and guardianship administration. Our work includes fiduciary risk, document interpretation, accounting, distribution matters, and contested proceedings in Pennsylvania’s Orphans’ Courts.
We advise financial institutions, public issuers, and nonprofit borrowers on taxable and tax-exempt financings. Our work includes loans and bond transactions involving municipalities, educational institutions, healthcare organizations, and other tax-exempt borrowers.
We advise financial institutions and other creditors on out-of-court workouts, debt restructurings, loan enforcement, and bankruptcy proceedings. Our work also includes preference and fraudulent transfer actions, receiverships, foreclosures, and related litigation.
We represent financial institutions in disputes involving lender liability, loan and collateral enforcement, securities, negotiable instruments, commercial collections, and fiduciary matters.
