Overview

Corey represents individuals, fiduciaries, and business owners in estate planning, real estate, and business succession matters, and advises oil and gas companies and landowners on leasing, permitting, and pipeline matters.

Estate planning

Corey has significant experience drafting wills, powers of attorney, and a wide range of trust documents designed to meet clients’ goals of tax minimization, planning for special needs beneficiaries, charitable dispositions, and asset protection. For closely held business clients, he advises business owners on succession planning matters, including, but not limited to, corporate organization, transfers of business interests through gifts and leveraged sales, stockholders’ agreements, and exit strategies for “key-man” owners. In addition, he provides general representation to business and professional corporations, general and limited liability partnerships, and limited liability companies on business and federal taxation matters.

Estate and trust administration

Corey advises fiduciaries with respect to valuation, taxation, reporting, and distribution of estate and trust assets, compliance with duties to beneficiaries and governmental entities, and practical strategies to harmonize the relationship between fiduciaries and beneficiaries.

Real estate

Corey routinely counsels real estate clients on leases, agreements of sale, easements/rights-of-way, and review/analysis of title issues.

Oil and gas

His oil and gas practice includes counseling producers, service companies, and landowners on the full spectrum of oil and gas-related issues, including leasing, well permitting, hydraulic fracturing, well completion, and production. He has represented large-acreage landowners, including individuals, businesses, and trusts, in negotiating leases, easements, and ancillary agreements, and in advising on title issues.

In addition, Corey has worked on several major pipeline and infrastructure projects, which were developed and/or repurposed to transport the vast supplies of shale gas from the Marcellus and Utica basins to areas of greatest demand. Specifically, as it relates to interstate and intrastate pipeline projects, Corey:

  • Negotiates and drafts pipeline easements and amendments, surface use agreements, compressor site agreements, valve station site agreements, and agreements of sale for real property.
  • Analyzes and resolves complex title issues, including ownership disputes, access rights, private/public roads, estate and probate complexities, and common ownership issues.
  • Reviews and analyzes additional property rights within granting documents, including additional line rights, easement rights, and use rights within easement documents.
  • Analyzes and reviews engineering/surveying plats for compliance with easement agreements.
