Meagan represents clients on all sides of mergers and acquisition transactions involving businesses and related real estate transfers. She advises clients in corporate and real estate transactions, focusing on complex deals for the acquisition or divestiture of entity ownership interests, assets, and/or real estate.
She has closed M&A transactions ranging from under $1 million to $90 million, for both private businesses and family-owned enterprises. Her experience spans a wide range of deal structures, including asset and stock/ownership purchases and sales, mergers, and combinations thereof. Representation during transactions runs from ironing out initial deal terms, aiding clients in the legal aspects of financing for the transaction (whether through banks, individual loans, inter-company transfers, or seller financing), drafting and negotiating purchase agreements and ancillary documents, closings, and advising clients on post-closing matters. While providing strategic advice and representation throughout the entire transaction process, Meagan keeps her clients’ business objectives at the forefront. She works tirelessly to ensure they understand the critical details of each deal, including all potential risks, so that they can make informed decisions in order to do what is best for their business.
In addition to transactional work, she regularly drafts, reviews, and negotiates a wide range of business contracts, including supply, development, license, and management agreements, loan documents, and internal governing documents. Meagan also counsels clients on general corporate and commercial matters, including choice of entity and formation, corporate governance practices, and business succession planning.
Meagan is adept at both non-profit and women-owned business entities, including assisting clients with certification processes for both and governing such entities in accordance with the unique requirements of these specialized types of businesses.
