Overview

Brad represents companies, including banks, energy providers, and commercial real estate firms, in a variety of different transactions. He advises clients in mergers and acquisitions, corporate finance, bilateral and syndicated loan transactions, real estate transactions, and general business matters.

He handles matters involving commercial real estate transactions, such as leases, sales, and purchases. He also represents clients in connection with sophisticated acquisitions, joint ventures, and other transactions, as well as their day-to-day business operations. He works with a variety of business clients, including large, established, publicly traded companies, international companies, banks and bank holding companies, closely held businesses, start-ups, and private equity firms.

Corporate, banking, and public finance

  • Local and regional banks: Represented clients in construction, commercial, and industrial lending, conduit financing, and syndicated credit facility transactions.
  • Publicly traded banks and bank holding companies: Represented purchasers in stock acquisitions and merger transactions.
  • State-chartered bank: Advised on the formation of a bank holding company and restructuring from a stand-alone bank to a parent holding company and bank subsidiary structure.
  • Public-private partnership transactions: Advised on structuring and negotiating transactions involving the sale and concession of parking authority assets.
  • Terminal operator: Represented client in several multimillion-dollar acquisitions of terminal assets from multinational petroleum companies.
  • Distribution Company: Represented seller in a $300 million stock purchase transaction.
  • Web-based software company: Advised on complex, multimillion-dollar equity financings and acquisitions.

Oil and gas

  • Energy clients: Advised on oil and gas transactions with an aggregate value exceeding $17 billion.
  • Publicly traded exploration and production companies, regional operators, international investors, and private equity firms: Represented clients in the acquisition, sale, and evaluation of Marcellus Shale and Utica Shale assets.
  • Upstream and midstream energy companies: Advised on the operation and management of energy assets and day-to-day business matters.
  • Energy companies and investors: Structured and negotiated joint ventures, mergers and acquisitions, development arrangements, and other commercial transactions.
  • Upstream and midstream operators: Negotiated acquisition, participation, development, joint operating, joint venture, royalty, supply, gathering, pipeline interconnection, right-of-way, and construction agreements.
  • Compressed natural gas operator and supplier: Advised on land acquisition, development, zoning, permitting, supply agreements, and day-to-day commercial matters.

Real estate

  • Developers: Negotiated land acquisition agreements, rights-of-way, easements, and agreements with utilities, municipalities, and neighboring landowners.
  • Commercial real estate clients: Negotiated and prepared commercial leases, ground leases, purchase and sale agreements, condominium documents, and restrictive covenants.
