Overview

Allen represents large, multi-national corporations as well as emerging, growth-oriented businesses in corporate matters. He focuses particularly on corporate transactions and mergers and acquisitions, securities law, and international business transactions.

He regularly represents clients in complex commercial transactions, securing capital for growth and expansion, and counseling on corporate restructuring. He also advises on tax implications, risk mitigation, and fostering seamless post-acquisition integration. In securities matters, Allen has successfully represented clients across multiple industries, including manufacturing, import/export, and finance, helping them navigate compliance with regulatory bodies, including the U.S. Securities and Exchange Commission.

For international business transactions, Allen works with clients to establish and expand their global presence and advises foreign investors looking to establish U.S. operations. He also helps domestic clients navigate market entry into foreign markets through direct investment and foreign representation, including import/export trade compliance, advice, and the formation of special-purpose entities.

  • Multinational manufacturing company: Developed and implemented an entity simplification strategy for a corporation valued at approximately $2 billion.
  • European industrial conglomerate: Advised client in its $173 million acquisition of a U.S. business, including structuring its U.S. operations.
  • Businesses operating internationally: Provided import and export compliance counsel for operations in Europe and the Middle East, with additional anti-boycott compliance work involving South America and Asia.
  • Investment and trade clients: Assisted with the establishment of hedge funds and international trade intermediaries in Hong Kong, Bermuda, the Cayman Islands, Ireland, and Switzerland.
