Dan is a member of the Financial Services and Public Finance & Government Services.

His practice includes a broad range of banking, tax-exempt bond, public finance and corporate finance law, focusing on commercial lending and business transactions, banking and finance, public finance, tax-exempt bonds and other capital markets transactions, and real estate matters.

Dan has represented numerous institutional, business and individual clients, including municipalities, economic development authorities, municipal authorities, hospital authorities, other special purpose public authorities, international, national, regional and community banks and financial institutions, real estate developers, colleges, universities, healthcare institutions, nonprofit senior living and retirement care companies and other large and small businesses in a wide range of tax-exempt debt financings, syndicated and participated lending transactions, structured finance and other commercial and corporate transactional matters.

In the area of public finance, Dan has served as bond counsel, underwriter’s counsel, letter of credit bank or other credit enhancement provider’s counsel, issuer’s counsel and conduit borrower’s counsel in a wide variety of general obligation and revenue bond or note financing transactions, including interest rate swaps and other derivatives products.  Dan also regularly represents financial institutions in direct tax-exempt lending to municipalities and nonprofit organizations.

Previously, he was a partner in a large Philadelphia-based law firm and a large Pittsburgh-based law firm.


Represented financial institution clients in connection with standby bond purchase agreements supporting tax-exempt variable rate demand bonds;

Represented financial institution clients in connection with letters of credit supporting tax-exempt variable rate demand bonds;

Represented financial institution clients in connection with direct acquisition of municipal bonds and authority conduit revenue bond financings;

Represented bank clients and business clients in connection with syndicated multi-facility lending transactions;

Represented nonprofit hospital, higher education and senior care facility clients in connection with obligated group tax-exempt conduit bond and private bank financings;

Represented nonprofit public development corporation in restructuring lease financings and tax-exempt bond issues for prominent downtown retail and office building complex;

Represented nonprofit public development corporation In connection with restructuring and refinancing certificates of participation lease financings for the commonwealth of Pennsylvania;

Represented nonprofit senior care group in connection with conversion of outstanding debt and related collateral security into an obligated group/master Indenture borrowing and operational structure;

Represented nonprofit clients in connection with merger of obligated group debt structures as part of corporate affiliation/consolidation transactions.
