Corporate Tax, M&A, Banking

  • Represented local and regional banking clients in numerous development, construction loan and other C&I loan transactions, including conduit financing and syndicated credit facilities.
  • Represented publicly-held, local banks and bank holding companies, as purchasers, in numerous stock purchase deals and mergers.
  • Guided state-chartered bank in all aspects the formation of a new bank holding company, changing structure from a stand-alone bank, to a parent holding company – bank subsidiary structure.
  • Played integral role in structuring and negotiating P3 deals including sale and concession by parking authority of parking assets.
  • Represented large terminal operator, as purchaser, in several multi-million dollar terminal asset deals with large multi-national petroleum companies.
  • Represented local web-based software company in complex, multi-million dollar equity-based financings and acquisitions.

Oil and Gas

  • Advised clients on over $17 billion in oil and gas transactions since 2010.
  • Represented publicly-traded E&P companies, regional operating companies, international non-operating companies and private equity firms in the acquisition, sale and assessment of Marcellus Shale and Utica Shale assets.
  • Regularly advised clients in the operation and management of upstream and midstream assets.
  • Advised local, national and international clients in structuring and negotiating joint ventures and a variety of mergers and acquisitions, as well as in day-to-day business operations.
  • Negotiated and structured acquisition agreements, participation and development agreements, joint operating agreements, joint venture agreements, royalty agreements, swaps and oil and gas leases in upstream operations, and ROW acquisitions, pipeline interconnection agreements, supply agreements, gathering agreements and construction contracts in midstream operations.
  • Represented CNG operator and supplier in connection with land acquisition, land development, zoning and permitting requirements, supply agreements and day-to-day commercial and business counseling issues.

Real Estate

  • Represented developers in negotiating a variety of ancillary land acquisition agreements, rights-of-way, easements and other agreements with utilities, municipalities and neighboring landowners.
  • Advised and represented developers in obtaining subdivision, zoning and land use approvals.
  • Negotiated and prepared commercial leases, ground leases, purchase and sale agreements, condominium documents and restrictive covenants.
