Profile

Amy primarily practices in the area of automotive buy/sells and manufacturer-dealer relations.

Amy has spent her entire legal career negotiating and closing automotive buy sells both within Pennsylvania and nationally.  She has been involved in some of the largest buy-sells in the state and across the country.  Amy estimates that she has closed approximately 100 or more automotive buy-sells through-out her career.

A significant portion of her practice also involves (i) counseling dealers in connection with the terms and conditions of Manufacturer Dealer Sales and Service agreements, addendums thereto (including facility addendums) and various other industry specific contracts routinely entered into by dealers such as letters of intent for new points, financial intervention agreements and framework agreements, to name a few, (ii) counseling dealers on various regulatory matters; and (iii) drafting employment agreements, option agreements, dealership leases, real estate purchase agreements and various other contracts common in the automotive industry.

A successful acquisition practice necessarily involves counseling clients on general business matters such as business and corporate formation, organization and planning (including state and federal tax implications), and Amy has routinely assisted dealers and non-dealers alike in choosing and implementing the best corporate or business structures for their needs.

Amy serves as outside general counsel to a number of large automotive groups both within and outside Pennsylvania.
