McNees Wallace & Nurick served as legal counsel to Techniserv, Inc., a Pennsylvania-based provider of bioreactor and process systems, in its sale to Masco Group, a global leader in high-purity process solutions for the life sciences industry. The transaction was announced in early June 2025.

Techniserv, founded in 1982, has built a strong reputation as a trusted partner to leading U.S. biopharma companies. Its integrated capabilities span process engineering, custom fabrication, automation, and qualification of high-purity systems for the pharmaceutical, biotech, food, and fine chemical industries. The company will continue to operate under its current leadership team and join Masco Group’s Process Business Unit, which includes Olsa and BCD, further enhancing Masco’s U.S. presence and bioprocessing capabilities.

Masco Group, headquartered in Milan and Settala, Italy, is privately owned by Ardian, the Borella family, and company management. With a portfolio of specialist companies operating across five continents, Masco Group delivers modular facility design, high-purity process systems, and advanced automation engineering to global life sciences manufacturers.

The McNees transaction team, led by attorneys Steve Gierasch, Ben Ward, and Frank Lavery, advised Techniserv throughout the deal process. Their counsel covered the initial structuring considerations spanning due diligence and regulatory review and negotiation of the primary transaction documents, ultimately culminating in a successful closing. McNees worked in close collaboration with Fairmount Partners, who served as Techniserv’s exclusive M&A advisor.
