Brad practices in the Corporate & Tax Group.  He is a certified public accountant (CPA) and tax law attorney. He received his Master of Laws in Taxation from the Georgetown University Law Center.  As a lawyer in the Harrisburg, PA office, Brad has been recognized in the publication The Best Lawyers in America© each year since 1995.  In 2014 as well as in 2011, The Best Lawyers in America© recognized Brad as the Corporate Law Lawyer of the Year in Harrisburg, Pennsylvania.  In 2016 and 2012, this same publication recognized Brad as the Tax Law Lawyer of the Year.  Brad has also secured the highest peer review rating of AV® established by Martindale-Hubbell.

Brad represents closely held businesses in a broad range of industries – from manufacturing to wholesale distribution to retail.  He is a trusted legal advisor to his clients, often serving as outside general counsel for these companies and quarterbacking their legal needs.  His primary areas of focus for business law clients are complex business transactions, strategic tax law and business planning and general corporate advice and counsel.

Examples of the work which Brad performs for his business clients are the following:

  • Negotiating, preparing all appropriate documents and completing the purchase and sale of various businesses, and structuring these purchases and sales as asset, stock or merger transactions to achieve the best tax result.
  • Negotiating, documenting and closing a loan transaction involving more than 30 facilities in numerous states.
  • Representing a company in its construction of a water treatment facility to address the needs of drillers in the Marcellus Shale region.  This type of legal work encompasses corporate and tax planning, review of vendor contracts, development of customer contracts and resolution of real estate issues solving easement and access concerns.
  • Tax and business planning, and related document preparation, to restructure a company’s shareholder interests to better enable the company to compete going forward.
  • Structuring and negotiating a joint venture agreement for the mining of anthracite coal in Pennsylvania.
  • Assisting clients in the successful resolution of various federal and state tax disputes.

In addition to business matters, Brad also assists the owners of closely held businesses in their personal tax and estate planning matters, helping to formulate tax efficient solutions in these areas.  Brad is a member of the firm’s Estate Planning Group.
