McNees Wallace & Nurick LLC represented Burnham Holdings, Inc (OTC: BURCA) and its subsidiaries, Thermo Products (TP) and Norwood Manufacturing (NMI), in the $27.6 million sale of substantially all of the subsidiaries’ assets to R.W. Beckett Corporation (RWB).
Headquartered in Lancaster, Pa., Burnham Holdings is the parent company of multiple U.S. manufacturers of boilers, furnaces, and related HVAC products. This strategic divestiture aligns with Burnham’s long-term vision to concentrate on its core boiler business and expand its commercial and industrial service offerings.
The McNees transaction team, led by attorney Alexandra S. Ahlbrandt of the firm’s Mergers & Acquisitions Group, along with significant collaboration from members of the firm’s Corporate & Tax, Real Estate, Energy & Environmental, Labor & Employment, Intellectual Property and Data Privacy Practice Groups, provided strategic legal guidance throughout the transaction. Such support included deal structuring, regulatory review and analysis, and negotiating the transaction through to closing. The transaction team worked closely with Burnham’s leadership and advisors throughout the transaction.
