Clayton is Chair of the Financial Services Group and leads the Bankruptcy and Creditors’ Rights Group. He represents creditors in bankruptcy and commercial law cases. He also represents lenders, borrowers and investors in traditional commercial lending and venture capital financings as well as general corporate advice. Clay has extensive experience in defending creditors from preference actions in adversary proceedings throughout the United States including Delaware and the Southern District of New York in:

  • Defense of fraudulent transfer actions
  • Asset purchases or “363 sales”
  • Chapter Plan objections
  • Article 2 sales disputes and commercial collection and replevin actions

In his Automotive Dealership Law practice, Clay represents dealers buying and selling dealerships, shareholder matters, business succession planning, antitrust and competition issues and franchise relations with manufacturers. He also supports dealers in a wide range of matters involving licensure, franchise relations and consumer protection claims.
