Ben is an attorney in the Corporate & Tax and Mergers & Acquisitions Groups in the Lancaster, PA office.

Ben focuses on Mergers & Acquisitions, finance and loan transactions, corporate law, LLCs, partnerships and other national and international business transactions.

Ben has extensive experience on both the sale and purchase sides of transactions and in stock deals, asset deals, mergers, consolidations as well as restructurings in preparation for transactions.

He serves as outside general counsel and transaction counsel to clients in various industries, including technology services, retail, manufacturing, hospital, dentistry, healthcare, chemicals, metals, the water/wastewater industries and other service sector industries.

Ben is admitted in Pennsylvania and New York State, and began his legal career more than 16 years ago.  His initial 10 years of experience were in large law firms in New York City, working on complex transactions.

Ben has represented clients in over $30 billion of Mergers & Acquisitions, financings and other transactions.

He is recognized for the range of his transaction experience, speed and efficiency and a strong sense of industry practice in getting deals done.

• Operating agreements, shareholders’ agreements and restructurings.
• LLCs, partnerships, company structure and start-up considerations.
• Choice of entity, governance as well as board of director duties and actions.
